1. Acceptance of Agreement

This End User License Agreement (“Agreement”) governs the licensing and use of CloudATP (“Software”) provided by TreadBinary Technologies Private Limited (“Provider”).

The Software is made available through the SAP Store and is designed to operate within the Customer’s SAP Business Technology Platform environment and may integrate with SAP S/4HANA.

By purchasing, installing, or using the Software, the customer (“Customer”) agrees to be bound by this Agreement.

2. License Grant

Subject to the terms of this Agreement, the Provider grants the Customer a limited, non-exclusive, non-transferable license to install and use the Software solely for the Customer’s internal business operations.

The Software is licensed and not sold.

All intellectual property rights remain with the Provider.

3. License Scope – Legal Entity Limitation

Each license of CloudATP is valid for one legal entity (one legally registered company) of the Customer.

Accordingly:

• The Software may only be used by the legal entity for which the license was purchased.
• Use by subsidiaries, affiliates, or other legal entities within the same corporate group requires separate licenses.
• Deployment for additional legal entities requires the purchase of additional licenses.

4. Fees and Payment Structure

4.1 License Fee

The Customer shall pay the applicable Software License Fee for the right to use the Software.

The License Fee grants the Customer the right to use the Software within the licensed scope as defined in this Agreement.

The License Fee does not include implementation or deployment services.

4.2 One-Time Setup Fee

A one-time Setup / Implementation Fee will be charged for the initial deployment and configuration of the Software.

The Setup Fee covers services including:

• installation of the Software
• initial configuration
• connection to relevant systems
• basic operational verification

The Setup Fee is separate from the Software License Fee and is non-refundable once implementation work has commenced.

4.3 Additional Services

Any services beyond the standard implementation scope, including but not limited to:

• custom development
• additional integrations
• system landscape changes
• extended consulting services

may be billed separately at the Provider’s standard professional service rates.

5. Deployment and Implementation

5.1 Deployment Method

Deployment will be performed manually by the Provider.

The Software will be installed within the Customer’s environment on SAP Business Technology Platform and may integrate with SAP S/4HANA.

5.2 Temporary System Access

To enable deployment, the Customer shall provide temporary technical access to relevant systems including:

• the Customer’s SAP Business Technology Platform environment
• the Customer’s SAP S/4HANA system

Such access shall:

• be limited to deployment purposes
• remain under the Customer’s security control
• be revoked once installation is completed

6. Re-Deployment and Additional Installations

The one-time Setup Fee covers one initial deployment.

Additional charges may apply for:

• reinstallation due to system deletion
• migration to a different BTP tenant
• installation in additional environments
• deployment for additional legal entities
• system reconfiguration requested by the Customer

7. Customer Responsibilities

The Customer is responsible for:

• maintaining valid licenses for SAP Business Technology Platform
• maintaining valid licenses for SAP S/4HANA
• ensuring system readiness for deployment
• providing necessary technical contacts and access credentials
• ensuring compliance with applicable laws and regulations

8. Customer Delay Protection

If implementation is delayed due to Customer-related issues including:

• delayed access to systems
• unavailable technical personnel
• incomplete infrastructure setup

the Provider may:

• reschedule deployment timelines
• charge additional implementation fees
• invoice for additional consulting time

9. Integration Disclaimer

The Software may integrate with systems within the SAP Business Technology Platform ecosystem and with SAP S/4HANA.

The Provider is not responsible for issues arising from:

• customer infrastructure misconfiguration
• unsupported SAP versions
• third-party software changes
• SAP upgrades or patches

10. License Compliance and Audit Rights

The Provider reserves the right to conduct reasonable license compliance audits to verify that the Software is used within the licensed scope.

Such audits may involve verification of deployments within the Customer’s SAP Business Technology Platform environment.

If an audit reveals unlicensed usage, the Customer agrees to purchase the required additional licenses.

11. Data Handling

The Software operates entirely within the Customer’s SAP environment.

The Provider does not store or host Customer business data outside the Customer systems.

All data remains within the Customer’s SAP Business Technology Platform and SAP S/4HANA environments.

12. Intellectual Property

All intellectual property rights in the Software remain the exclusive property of TreadBinary Technologies Private Limited.

13. Restrictions

The Customer shall not:

• reverse engineer the Software
• distribute the Software
• allow usage outside the licensed legal entity
• create derivative works without authorization

14. Disclaimer of Warranties

The Software is provided “as is” without warranties of any kind.

15. Limitation of Liability

To the fullest extent permitted by law, the Provider shall not be liable for indirect or consequential damages including loss of profits, revenue, or data.

16. Termination

This Agreement may be terminated if the Customer materially breaches the terms of this Agreement.

Upon termination, the Customer must discontinue use of the Software.

17. Governing Law

This Agreement shall be governed by the laws of Thane / Mumbai, India.
